Terms and Conditions ( The Agreement )

Parties

  1. The Company:
    NET Global Taxis Ltd & Intercity Cabs Ltd trading as Taxiplatesdublin.ie
  2. The Driver:
    The person entering into this Agreement (including any Appointed Driver, where applicable)

Background

  1. The Company shall provide the SPSV vehicle licence (the Plate), SPSV insurance (at the Drivers cost),and agreed Equipment.
  2. The Driver shall identify a suitable vehicle (the Car) for use as a taxi.
  3.  Upon:
    • agreement of terms,
    • acceptance of these Terms and Conditions, and
    • payment of the required pre-payment and Deposit,

    the Company shall purchase the Car. For the avoidance of doubt, ownership vests in the Company at that point.

  4. The Car may be registered in the name of the Company, the Plate Owner, or the Driver, as agreed.
  5. The Driver shall ensure the Car is made and maintained as a legally operational as a Taxi.
  6. Over the Term, the Driver shall purchase the Car from the Company through weekly Payments and the Final Payment.
  7. Upon Termination and payment of all sums due (including the Final Payment), the Company shall transfer ownership of the Car to the Driver or their nominee.

Definitions

  1. Agreement / T&Cs: These Terms and Conditions
  2. Appointed Driver: A driver nominated by the Driver, subject to SPSV Regulations
  3. Car: The vehicle purchased by the Company
  4. Deposit: Security against breach or default
  5. Equipment: Taxi equipment including meter, printer, roof sign, Tamper Proof Discs
  6. Final Payment: Final sum required to complete purchase of the Car
  7. Levy / Levies: Any costs incurred by the Company for operation or compliance, recharged at cost
  8. Notice Period: Any time up to and including four weeks prior to expiry of the Plate Licence
  9. Plate: SPSV vehicle licence and roof sign
  10. Plate Owner: Owner of the Plate (if not the Company)
  11. Payments: Weekly payments and any Levies
  12. Proper Notice: Notice served within the Notice Period
  13. Suitability Fee: Authority fee for inspection
  14. Taxi: The Car when licensed as an SPSV
  15. Termination Date: Anniversary of acceptance or four weeks prior to Plate expiry, at Company discretion
  16. Term: 12 months, subject to Termination Date

Core Obligations

  1. The Driver accepts these T&Cs as published and all future iterations of the T&Cs
  2. The Agreement is exclusive to the Parties.
  3. The Driver may appoint an Appointed Driver, subject to:
    • SPSV Regulations, and
    • Company approval in writing
  4. The Driver shall:
    • pay all weekly Payments and Levies
    • comply with SPSV Regulations
    • bear all costs associated with operation of the Taxi
  5. The Driver is committed to the Agreement for the full Term.
  6. The Driver shall not:
    • substitute the vehicle
    • sub-let the Taxi or Plate
    • engage another driver

Without prior written consent of the Company.

Payments

  1. On signing, the Driver shall pay:
    • two weeks’ Payments (first and last week)
    • the Deposit
    • the Suitability Fee
  2. Weekly payments for every week of the Term
  3. The Company may charge all Payments and Levies to the Driver’s bank card or IBAN.
  4. The Driver authorises the Company to securely store and process such payment details.
  5. On Termination:
    • any outstanding balance may be charged
    • prepayments and Deposit cannot offset liabilities where there has been breach
  6. Late payment or default may result in:
    • Termination
    • forfeiture of prepayments and Deposit

Driver Responsibilities

The Driver shall ensure:

  1. Full compliance with all SPSV requirements, including:
    • suitability tests
    • NCT
    • meter inspections
    • licensing requirements
  2. Provision of:
    • all requiredoriginaldocuments immediately upon request
    • original documents will be copied and held on file by The Company for the duration of the Agreement and for a period of 7 years following the termination of the Agreement.
    • original Plate Licence within one working day of suitability approval
  3. Maintenance of:
    • the car, including upkeep, maintenance and repairs in line with NTA Regulations
    • valid SPSV insurance
    • Tax Clearance Certificate
    • driver licence
    • SPSV driver licence free from endorsement
    • valid Plate licence
    • the car is maintained in a roadworthy condition
    • all Insurance, legally required documents and taxes relating to the Car are up to date and valid.
  4. All original documents which bear the name of the Company must be held on file by the Company.
  5. Attendance at all required inspections and regulatory appointments.
  6. Immediate provision or return of:
    • Tamper Proof Discs
    • Equipment (when required)
  7. Where applicable, entry into agreements with the Plate Owner necessary to give effect to this Agreement.

Plate Arrangements

  1. Where the Plate is owned by a third party:
    • the Plate Owner authorises the Company to manage the Plate for a minimum of 12 months
    • the Driver is permitted to use the Plate
  2. The Driver shall not:
    • enter into any agreement with the Plate Owner during the Term
    • or for 12 months following Termination

Term and Renewal

  1. The Agreement runs for the Term.
  2. If neither party serves notice during the Notice Period, the Agreement renews automatically for a further Term.

Termination

  1. By the Driver
    The Driver may terminate by giving Proper Notice.
  2. By the Company
    The company may terminate the agreement at any time for any reason by giving notice to the driver in writing or by email, WhatsApp or SMS.
    The Company may terminate at any time where:

    • the relationship has broken down in the opinion of the Company
    • regulatory changes occur
    • a director or Plate Owner dies or becomes incapacitated
    • the Agreement becomes impractical, unviable, or illegal
  3. Immediate Termination for Breach

    If the Driver:

    • fails to give Proper Notice, or
    • breaches any term of the Agreement
    • Fails to pay their insurance premium at least 3 days prior to the date that payment is due
    • Fails to renew the policy at least three days prior to expiry – In this event, The Company has the right to use the deposit to pay for the insurance instalment or payment.  If the Driver wishes to continue driving the Car, The Company will require another deposit from the Driver to be retained by The Company.

    then:

    • prepayments and Deposit paid by the driver will be forfeited
    • the Company shall repossess Equipment, roof sign, and Tamper Proof Discs
    • the Agreement terminates immediately

 

Consequences of Termination

  1. The Driver shall:
    • return all Equipment
    • return roof sign (or internal sleeves if owned by Driver)
    • return Tamper Proof Discs
  2. The Driver shall pay the Final Payment.
  3. Upon full payment, the Company shall transfer ownership of the Car.

Financial Consequences

  1. termination occurs without Proper Notice or due to breach by the driver:
    • last week’s payment and Deposit are forfeited
  2. The Company may recover outstanding balances via authorised payment methods.

Indemnity and Liability

  1. The Driver indemnifies the Company against all:
    • losses
    • claims
    • actions
    • demands

    arising directly or indirectly from this Agreement.

  2. The Driver acknowledges that no claim shall arise against the Company or Plate Owner for early termination.
  3. The Company will assist in the arrangement of the Comprehensive Insurance of the Car and Driver under the Road Traffic Act.
    • The Driver is responsible for the cost of Insurance in all circumstances.
  4. Driver’s Insurance Declaration and Indemnity

I, the Driver, have provided the information requested by the proposed insurers of the Car. I state here that the documents and information that I have provided are true, accurate, correct and complete and are in no way misleading.

I understand and agree that if any of the documentation or information that I have provided are not true, accurate, correct and/or complete or is in any way misleading that the responsibility and liability for any loss, claims, actions or demands lies solely with me, the Driver. I therefore, hereby indemnify The Company against any liability, loss, claims, actions or demands in this regard.

Acknowledgment

The Driver confirms that they:

  1. have read and understood this Agreement
  2. have considered its implications
  3. accept all terms
  4. understand and agree to comply with SPSV Regulations

Acceptance

By accepting these Terms and Conditions, the Driver confirms full acceptance of this Agreement and all future iterations of the T & C’s.

What Does This Policy Cover?

The provision of Taxi services by Lynk Taxis through web, app, and telephone.

Your Rights

As a data subject, you have the following rights under the GDPR, which this Policy and our use of personal data have been designed to uphold:

The right to be informed about our collection and use of personal data;

The right to rectification if any personal data we hold about you is inaccurate or incomplete;

The right to object to Lynk using your personal data for particular purposes; and Rightswith respect to automated decision making and profiling.

Legal basis for processing

Processing is necessary for the performance of a contract to which the data subject is party or in order to take steps at the request of the data subject prior to entering into acontract; (GDPR Art 6(1)(b))

Processing is necessary for compliance with a legal obligation to which the controller is subject; (GDPR Art 6(1)(c))

Where processing requires clear consent, we ensure the data subject has given consent to the processing of his or her personal data for one or more specific purposes; (GDPR Art 6(1) (c))

Legitimate interest, data collected in the provision of the service is also used to improve the quality of services to customers; (GDPR Art 6(1)(f))

What Data Do We Collect?

Data protection law defines consent as: “Any freely given, specific, informed and unambiguous indication of the data subject’s wishes by which he or she, by a statement or by a clear affirmative action, signifies agreement to the processing of personal data relating to him or her”.

Optional provision of personal data is not an option in booking a taxi service; it is a requirement of contract fulfilment. Providing the minimum personal data, necessary for service, is deemed as consent.

Where processing is based on consent, Lynk ensures that consent requests are transparent, using plain language. Pre-ticked, opt-out boxes are not used. Consent is always freely given (telephone, in writing – documented affirmative action, email, website, booking app). Evidence of all consent or request for service is retained.

Electronic methods of providing personal data and/or gaining consent (i.e. website or mobile app) are regularly reviewed to ensure that a compliant Privacy Notice is accessible, and that consent is clear.

Where consent is obtained through direct telephone call by an individual, we utilise scripts and/or computer systems, using predefined fields, which show the required data to be collected to fulfil the contract request. A record of each phone call is retained as evidence.

We ensure that withdrawing consent is as easy. Consent withdrawal requests are processed immediately and without detriment.

For telephone bookings we collect

For Account and app bookings we collect

For Corporate bookings we collect

  1. Name
  2. Phone Number
  3. Pick Up Address
  4. Destination Address

  6. Card and electronic payment details, (if provided)
  7. Call recording

To invite a user or non-user to a corporate account we collect

  1. Phone Number
  2. Email address

For bookings made through our website the following will also be captured

  1. IP address;
  2. Web-browser type and version;
  3. Operating-system;
  4. A list of URLs starting with a referring site, your activity on Our Site, and the site you exit to;
  5. Mobile phone’s IMEI

We are affiliated to the Riide group, an international association of taxi companies, which allows clients and app users to seamlessly book taxis by phone, app, web or any other means with Riide’s affiliated companies in other countries, including but not limited to UK, Ireland, USA, Canada and Europe.

Taxi booking data is shared with our affiliates when a booking is made in an affiliate’s geographical area. Please note that bookings made outside of the EU may initiate a transfer of data to a country that does not provide the same level of data protection as provided under EU law.

We engage with remote call answering services outside of the EU who take and have access to your personal, location, communication and payment details that are necessary to place a booking for you.

We engage with IT and marketing specialists outside of the EU who have access to your personal, location, communication and payment details that are necessary to place a booking for you.

Data Retention

Lynk retains records and personal information for legitimate or legal business reasons only. In addition, we may occasionally be required to collect and use certain types of personal information to comply with the requirements of the law and/or regulations. Personal data, which identifies a data subject, is not kept longer than is necessary for the purposes for which the personal data is processed and required by regulation/legislation.

Electronic and hard copy documents containing personal data, and associated correspondence and internal memoranda, are always retained in a secure location, with controlled and authorised access.

Sharing and Disclosure of Data

Lynk only allows access to Personal Data by those who have a legitimate purpose for access to that information.

Personal Data is only shared with Lynk’s partners and drivers for the purpose of providing a taxi service and to comply with regulations, in compliance with applicable law, for purposes consistent with this Policy.

Personal data (name. telephone & account number, email) may be transferred to another country if you use our taxi booking service abroad.

Personal data (phone number, email) of a user or non-user may be shared with a user (corporate taxi account administrator) in order to invite the user or non-user to use the corporate taxi account.

Lynk will share Drivers’ personal details and documents with Insurers, Regulators, Gardaí and other official bodies.

Law enforcement purposes

If requested or required by government authorities, such as law enforcement authorities, courts, or regulators, or otherwise to comply with the law, Lynk may disclose any information about Third Parties. Lynk also may disclose information collected about Third Parties in order to exercise or protect legal rights or defend against legal claims.

Sale or merger of business

Lynk may transfer Personal Data to a Third Party if it or any of its affiliates is involved in a corporate restructuring (e.g., a sale, merger, or other transfer of assets).

Cookies

A cookie is a small text file that a website saves on your computer or mobile device when you visit the site. It enables the website to remember your actions and preferences (such as login, language, font-size and other display preferences) over a period of time, so you don’t have to keep re-entering them whenever you come back to the site or browse from one page to another.

Cookies do not in any way compromise the security of your computer. You can continue with no loss of functionality if you choose to disable cookies. However, if you do not accept certain cookies, you may not be able to complete a booking request.
